Terms of Service

These Terms of Service (“Terms”) are between Buildaether Inc. (“Aether,” “we,” “us”) and the consulting firm entering into an agreement to use the Aether service (“you,” “your firm”). By creating an account, or by having your firm’s administrator add you to one, you agree to these Terms on behalf of yourself and, where applicable, your firm.

Aether reads the documents, email and other delivery communications your firm connects, attributes them to the right engagement, and drafts status reports, risk notes, meeting briefs and related work product for your firm’s review before anything reaches a client.

Aether is under active development. Features described on our site or in a draft product roadmap are not promised until they ship — see the claim we actually make about any given capability before relying on it.

• Access is firm-based. Your firm's owner or admin invites each person by email; you do not sign up independently of a firm.
• You're responsible for what happens under your login, and for telling us if you believe it's been compromised.
• Each person may belong to one firm at a time.
• Your firm's owner or admin can revoke a person's access at any time.

Your firm owns the content it connects to Aether and the work product Aether drafts from it. We process that content only to provide the service to your firm — never to improve outputs shown to any other firm. What we collect, who touches it, and how long we keep it is described in full in our Privacy Policy.

Data separation between firms is enforced at the database level, not only in application code, and is covered by our own tests before it ships.

You agree not to:

• Attempt to access another firm's data, account, or engagement records.
• Reverse-engineer, decompile, or attempt to extract the underlying models or source code.
• Use the service for anything unlawful, or in a way that infringes a third party's rights.
• Interfere with the service's operation or attempt to bypass its access controls.
• Resell or provide the service to a third party without our agreement.

Pricing and payment terms for your firm are set out in your firm’s order form or agreement with us, not in these Terms. Where those documents are silent, our then-current published pricing applies.

We treat your firm’s connected content as confidential. We disclose it only to the sub-processors named in our Privacy Policy, each bound by its own confidentiality and data-handling terms, and only as needed to provide the service.

We own Aether — the software, models we operate, and underlying technology. Nothing in these Terms transfers that to you. You own your firm’s content and the drafts Aether generates from it.

Aether is provided “as is.” A draft is not a substitute for a person’s own review, and we do not warrant that any output is free of error. We do not warrant that the service will be uninterrupted or error-free, particularly while it is under active development.

To the extent permitted by law, neither party is liable to the other for indirect, incidental, or consequential damages arising from these Terms or the service. Each party’s total liability arising from these Terms is limited to the fees your firm paid us in the twelve months before the claim arose, except for breaches of the confidentiality section above or either party’s indemnification obligations, where applicable.

Either party may terminate on notice as set out in your firm’s order form, or immediately for a material breach that isn’t cured within a reasonable period. On termination, your firm’s data is handled per the retention terms your firm configured — see the Privacy Policy’s retention section.

We may update these Terms as the service evolves. We’ll update the date at the top of this page, and for a change that materially affects your firm, we’ll tell your firm’s administrator directly.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles.
